Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the ShulStack platform, websites, and related services (collectively, the “Services”) provided by ShulPad LLC (“ShulStack,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Who These Terms Apply To
These Terms apply to:
- Organizations. Non-profits and other organizations that register for an account and use the Services to operate their websites, contacts, events, fundraising, and communications.
- End users. Members, donors, attendees, and visitors who interact with an organization through a site, form, or donation page powered by ShulStack.
If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and “you” refers to that organization.
2. Accounts and Eligibility
You must be at least 18 years old and able to form a binding contract to create an account. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use.
3. Your Content and Data
You retain ownership of the content and data you submit to the Services (“Your Content”), including contact records, donor information, page content, and files. You grant us a limited, non-exclusive license to host, process, transmit, and display Your Content solely to provide and improve the Services.
You are responsible for Your Content and for ensuring you have all rights and consents needed to collect, upload, and process it, including any personal information of your members and donors. You agree to maintain your own privacy practices and to comply with applicable data protection laws as the controller of the data you collect.
4. Acceptable Use
You agree not to:
- use the Services for any unlawful, fraudulent, or deceptive purpose;
- send spam or unsolicited messages in violation of applicable law;
- upload malware or interfere with, disrupt, or compromise the security or integrity of the Services;
- attempt to gain unauthorized access to any system, account, or data;
- infringe the intellectual property, privacy, or other rights of any person or entity;
- use the Services to process payments or solicit donations fraudulently or without proper authority; or
- reverse engineer, resell, or misuse the Services except as permitted by law.
We may suspend or terminate access to the Services for conduct that violates these Terms or that we reasonably believe is harmful to ShulStack, other users, or third parties.
5. Payments, Donations, and Fees
Subscription fees, if any, are described at the time of purchase and are billed in advance on a recurring basis unless otherwise stated. Except where required by law, fees are non-refundable.
Payments and donations processed through the Services are handled by third-party payment providers such as Stripe and PayPal, and are subject to their terms. You are responsible for any processing fees applicable to your account, for the accuracy of your payment configuration, and for issuing receipts and tax documentation to your donors as required by law. ShulStack is not the recipient of donations made to your organization and is not responsible for your tax or charitable compliance obligations.
6. Third-Party Services
The Services integrate with third-party providers (for example, payment processors, email delivery, and hosting). Your use of those integrations may be subject to the third party’s terms, and we are not responsible for third-party services or their actions.
7. Intellectual Property
The Services, including all software, design, and content provided by us (excluding Your Content), are owned by ShulStack or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms. You may not copy, modify, distribute, or create derivative works from the Services except as expressly permitted.
8. Availability and Changes
We work to keep the Services available and reliable, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features of the Services at any time. We will use reasonable efforts to notify you of material changes.
9. Termination
You may stop using the Services and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, or if we are required to do so by law. Upon termination, your right to use the Services ends. We will make Your Content available for export for a reasonable period where practicable, after which we may delete it in accordance with our data retention practices.
10. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHULSTACK AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless ShulStack and its affiliates from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Services, or your violation of these Terms or applicable law.
13. Governing Law and Disputes
These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Pennsylvania, except where applicable law gives you the right to bring proceedings in your local jurisdiction.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
